Use the Services in any manner that could disable, overburden, damage, or impair the site or interfere with any other party’s use.

Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or harmful.

Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services.

Alicia AI grants you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your internal business purposes, subject to these Terms.

By providing any User Content on the Services, you grant Alicia AI, our affiliates, and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose according to your account settings and this Agreement.

 

7.3 Content Standards

User Content must in its entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Content must not: (a) contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable; (b) promote sexually explicit or pornographic material, violence, or discrimination; (c) infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person; (d) violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with this Agreement and our Privacy Policy.

 

7.4 Monitoring and Enforcement

We have the right to: (a) remove or refuse to post any User Content for any or no reason in our sole discretion; (b) take any action with respect to any User Content that we deem necessary or appropriate in our sole discretion; (c) disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.

 

8. Copyright Infringement (Digital Millennium Copyright Act Policy)

Alicia AI respects the intellectual property rights of others and expects users of the Services to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Services, please notify Alicia AI’s copyright agent as set forth below in accordance with the Digital Millennium Copyright Act (“DMCA”).

To be effective, the notification must be in writing and include the following: a) a physical or electronic signature of the person authorized to act on behalf of the owner of the copyright interest; b) a description of the copyrighted work that you claim has been infringed; c) a description of where the material that you claim is infringing is located on the Services; d) your address, telephone number, and email address; e) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and f) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

You acknowledge and agree that your use of the Services is at your sole risk. Alicia AI provides the Services on an 'AS IS' and 'AS AVAILABLE' basis. We make no representations or warranties of any kind, express or implied, regarding the operation or availability of the Services, or the information, content, materials, or products included therein. You assume full responsibility for any damage to your computer system or loss of data that results from the download or use of any material provided via the Services.

By using the Services, you agree that we can collect and use your personal data in accordance with our Privacy Policy. 12. White-Labeled HighLevel CRM Services

 

12.1 Third-Party Platform

Alicia AI may integrate with white-labeled versions of third-party CRM platforms such as HighLevel. By using these services, you acknowledge that certain functionalities and infrastructure are provided by third-party vendors, and your use of those functionalities is subject to their respective terms of service.

 

12.2 Limitation of Liability

We are not responsible for data loss, outages, or service limitations caused by the third-party CRM provider. Your use of the white-labeled platform is at your own risk.

 

12.3 Support for Platform Issues

We provide support only for our configurations and integrations of the CRM system. Issues related to the third-party platform’s backend, servers, or native bugs must be directed to the original vendor.

 

12.4 Data Processing

Data stored and processed through the white-labeled CRM may be transferred to or stored in locations determined by the underlying third-party provider. You consent to such data transfers.

 

12.5 Service Continuity

We reserve the right to discontinue or replace the CRM platform integration at any time, with or without notice. In such cases, we will attempt to migrate data and functionality with minimal disruption.

 

12.6 Acceptance of Risk

By using the white-labeled CRM services, you acknowledge and accept the risks associated with relying on a third-party technology provider for key business functions.

 

13. AI Technologies and Services

 

13.1 AI-Powered Features

Alicia AI, a service offered by Hero Pro Tools under Sterling & Pope Media, provides intelligent voice automation, AI appointment setting, lead qualification, outbound follow-ups, and real-time customer engagement through advanced AI technologies. These services may include but are not limited to natural language processing (NLP), machine learning algorithms, voice synthesis, predictive analytics, and automated CRM integrations.

 

13.2 Your Interactions with AI Systems

By using Alicia AI, you acknowledge that you are interacting with artificial intelligence technologies. While Alicia AI simulates human-like conversations, it is not a human agent. Users must exercise discretion when interpreting AI-generated responses and should not rely on such interactions for legal, medical, or financial decisions without professional consultation.

 

13.3 Data Collection for AI Systems

To operate effectively, Alicia AI collects, stores, and processes information provided during voice calls, online interactions, and CRM-integrated communications. This may include lead names, contact information, service preferences, booking details, and conversational data. You agree not to misuse the AI technology in any way, including but not limited to attempts to manipulate responses, reverse-engineer the AI model, or use Alicia AI for unlawful, harmful, discriminatory, or deceptive activities. The service is intended solely for lawful business purposes.

 

13.9 Transparency and Human Oversight

While Alicia AI operates autonomously, we strongly recommend human review and oversight of AI interactions that lead to contracts, client conversions, or compliance-sensitive tasks. Hero Pro Tools assumes no liability for business decisions made solely based on AI outputs.

 

13.10 Changes to AI Technologies

We reserve the right to modify, enhance, or discontinue any AI-related functionalities without prior notice. These changes may include updates to speech models, response algorithms, CRM integrations, or automation workflows to improve service performance.

 

13.11 Third-Party AI Technologies

Some features of Alicia AI may be powered or enhanced by third-party AI tools, APIs, or cloud services (e.g., OpenAI, ElevenLabs, Google Dialogflow, Twilio, etc.). Use of such technologies is governed by their respective Terms of Service, and Alicia AI disclaims liability for third-party service interruptions or data processing issues beyond our control.

13.12 Assumption of Risk for AI Technologies

By using Alicia AI, you acknowledge and accept the inherent risks associated with artificial intelligence services, including incorrect responses, automation errors, system downtime, or misunderstood intent. You agree to indemnify and hold harmless Hero Pro Tools, Sterling & Pope Media, and their affiliates from any losses or damages arising from reliance on AI-generated content or communications.

 

14. Termination

 

14.1 Termination

We reserve the right to suspend or terminate your access to Alicia AI services at any time, with or without cause, and with or without notice. This may occur if you violate the Terms of Use Agreement, misuse the AI systems, engage in fraudulent or unlawful activity, or cause disruption to other users or the integrity of the platform. You may also terminate your subscription at any time by submitting a cancellation request via your account dashboard or by contacting customer support.

 

14.2 Effect of Termination

Upon termination of access, your right to use the Services will cease immediately. You will no longer have access to your account, and any data associated with your usage may be deleted or archived at our discretion. Termination does not relieve you of any financial obligations accrued before the date of termination. Any fees paid are non-refundable unless otherwise provided in Section 21.3 (Refund Policy). Provisions related to intellectual property, limitations of liability, indemnification, and dispute resolution shall survive termination.

 

15. No warranty

The services provided by Alicia AI and Hero Pro Tools are offered “as is” and “as available,” without warranty of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.

 

We do not warrant that the services will be uninterrupted, error-free, or completely secure, or that defects will be corrected. We make no representations or warranties regarding the use or the results of the use of the services in terms of correctness, accuracy, reliability, or otherwise.

You acknowledge and agree that your use of the services is at your sole risk. No oral or written information or advice given by Alicia AI, Hero Pro Tools, or any authorized representative shall create any warranty.

 

16. Limitation of liability

To the maximum extent permitted by applicable law, in no event shall Alicia AI, Hero Pro Tools, Sterling & Pope Media, or their affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

- your access to or use of or inability to access or use the services;

- any conduct or content of any third party on the services;

- any content obtained from the services; and

-unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

 

In no event shall our total liability to you for all claims relating to the services exceed the greater of $100 or the amount you paid us, if any, for access to or use of the services during the twelve (12) month period prior to the event giving rise to the claim.

 

17. Indemnification

You agree to defend, indemnify, and hold harmless Alicia AI, Hero Pro Tools, Sterling & Pope Media, their affiliates, licensors, service providers, officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

- your violation of this agreement;

- your use of the services, including but not limited to any use of the content, services, or products other than as expressly authorized in this agreement;

- your violation of any rights of a third party, including intellectual property rights;

- your content or data, including any claim involving alleged infringement or misappropriation of third-party rights by your content or data; or

- your violation of any applicable law, rule, or regulation.

 

We reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

 

18. Disputes

 

18.1 Governing law

This agreement and any dispute or claim arising out of or related to it, its subject matter, or its formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

 

18.2 Dispute resolution and mandatory arbitration

You agree that any dispute, claim, or controversy between you and Alicia AI or Hero Pro Tools arising in connection with or relating in any way to this agreement or to your relationship with us, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of the remedy sought, shall be resolved through binding individual arbitration. The arbitration will be administered by the American Arbitration Association (AAA) in accordance with its rules.

 

You understand that by agreeing to arbitration, you are waiving the right to a jury trial or to participate in a class action.

 

Exceptions: Either party may bring a claim in small claims court if the claim qualifies, or seek injunctive or other equitable relief in a court of competent jurisdiction for infringement or misuse of intellectual property rights.

 

18.3 Limitation to time to file claims

Any claim you may have arising out of or relating to this agreement must be filed within one (1) year after such claim arose; otherwise, the claim is permanently barred.

 

19. Miscellaneous

 

19.1 Waiver

No waiver by the Company of any term or condition set out in this Agreement shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under this Agreement shall not constitute a waiver of such right or provision.

 

19.2 Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable for any reason by a court or arbitrator of competent jurisdiction, the remaining provisions shall continue in full force and effect.

 

19.3 Entire Agreement

This Agreement constitutes the sole and entire agreement between you and the Company regarding the Services and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

 

19.4 Headings

The section titles in this Agreement are for convenience only and have no legal or contractual effect.

 

19.5 No Agency, Partnership, or Joint Venture

No agency, partnership, joint venture, or employment relationship is created as a result of this Agreement, and you do not have any authority of any kind to bind the Company in any respect whatsoever.

 

19.6 Assignment

You may not assign or transfer your rights or obligations under this Agreement without prior written consent from the Company. The Company may freely assign or transfer this Agreement without restriction.

 

19.7 Export Laws

You agree to comply fully with all U.S. and foreign export laws and regulations to ensure that neither the Services nor any technical data related thereto are exported or re-exported directly or indirectly in violation of, or used for any purposes prohibited by, such laws and regulations.

 

19.8 Force Majeure

The Company shall not be liable or responsible for any failure or delay in performance under this Agreement that results from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, government actions, war, terrorism, labor strikes, or internet outages.

 

19.9 Compliance with Laws

You are solely responsible for ensuring that your use of the Services complies with all applicable local, state, federal, and international laws and regulations.

 

19.10 No Third-Party Beneficiaries

This Agreement is for the benefit of the parties and their permitted successors and assigns only and is not intended to confer any rights or benefits on any third party.

 

20. SMS/Text Messages

20.1 SMS Program Description

The Company may offer a mobile messaging program, which users can opt into to receive SMS/text messages regarding service updates, appointment confirmations, support notifications, marketing messages, or other business-related communications. Message frequency may vary depending on user interaction and account activity.

 

20.2 Opting Out

You may opt out of receiving SMS/text messages from the Company at any time by replying “STOP” to any message. After opting out, you may receive a final confirmation message acknowledging your request. No further messages will be sent unless you re-enroll in the service.

20.3 Help and Support

20.4 Carrier Liability

 

Wireless carriers are not liable for delayed or undelivered messages. SMS services are offered on an “as is” basis and may not be available in all areas or at all times.

 

20.5 Message and Data Rates

Standard message and data rates may apply to all SMS/text messages sent to or from the Company. You are solely responsible for any charges imposed by your mobile carrier.

 

20.6 Recurring Messages Disclosure

By opting into the SMS program, you acknowledge that you may receive recurring messages from the Company, including but not limited to appointment reminders, lead response alerts, onboarding updates, promotional offers, and AI service updates.

 

20.7 Prohibited Content

The Company maintains strict compliance with all federal and state laws. SMS messages sent by the Company will never include:

Phishing, smishing, or any deceptive tactics designed to trick recipients into revealing personal information

Content that violates any federal, state, or local law

SHAFT content (Sex, Hate, Alcohol, Firearms, and Tobacco) that is unlawful or non-compliant with applicable regulations

 

The integrity and safety of our messaging communications are of utmost importance. The Company does not engage in or support any form of unlawful, misleading, or harmful SMS content.

 

20.8 SMS Opt-In Data Protection

All user information provided during SMS opt-in (e.g., phone number, name, preferences) is handled in accordance with the Company’s Privacy Policy. Data is never sold or shared with third parties for unrelated marketing purposes.
